In-House Counsel (Junior 1-3 yrs.)

This role is responsible for performing day-to-day production and administrative legal work. Reporting to the Chief Operating Officer, the Counsel will work extensively with business team members across all functional areas to navigate contractual and legal matters.  This individual must be able to work independently, learn quickly, identify and manage risk, interact easily with all levels of employees, meet deadlines and prioritize projects. A strong work ethic, ability to work in a fast-paced environment, and a positive attitude are absolute requirements. You will be responsible for the operational items regarding contracts and support of the sales process.  This role will draft contracts, negotiate basic redlines and interface closely with external legal resources on more involved legal issues. Additionally, you will handle certain sales operations and Salesforce system administrative responsibilities.


  • Exercise exceptional legal and business judgement to advise the RevTrax team and contribute to the overall success of the business
  • Structure, draft, review, negotiate, and manage a variety of commercial agreements including master service agreements, SOWs, and NDAs
  • Identify, research, analyze, and advise teams on a wide range of relevant legal topics
  • Provide preliminary review and issue spotting for new products
  • Handle routine corporate governance matters
  • Work with outside counsel
  • Analyze and advise on potential risks involved with specific contract terms, explaining terms and conditions to company managers
  • Manage the contract creation process and interact with Sales to ensure contracts are being created accurately and efficiently, including answering questions related to the contract creation system
  • Train new employees to request legal support and use the contract creation system
  • Manage legal contract templates and their implementation in the contract creation system
  • Update contract templates when law or policy changes are made.
  • Oversee and manage the contract administration process through execution
  • Organize and maintain contracts and legal files.
  • Assist in enforcing and developing requirements and processes relevant to contract coordination and generation.
  • Help establish and implement compliance and contract best practices.
  • Summarize and effectively communicate contractual terms and other business and legal matters.
  • Provide general support and assistance to executive team, sales, finance, marketing and others
  • Support for sales operations, helping to optimize and improve process and compliance across the organization


  • J.D. and bachelor's degrees from U.S. accredited institutions
  • Attorney admitted to practice in good standing
  • 2-3 years of experience working in a law firm or in house legal department
  • Experience drafting commercial agreements including master service agreements, SOWs, and NDAs
  • Strong business sense and ability to exercise good business judgement is critical
  • Effective communicator, with the ability to interact with internal and external constituents at all levels
  • Superior analytical skills with a creative and pragmatic problem-solving approach
  • Excellent legal skills, including significant experience in structuring, drafting, reviewing, and negotiating a variety of transactional agreements.
  • Strong commitment to providing responsible, timely, and top-quality client service with superior work product is necessary
  • Ability to thrive in fast paced environment
  • Excellent interpersonal and organizational skills
  • General understanding of intellectual property, online and mobile advertising, and data issues required
  • Background in digital media is preferred
  • Experience with Salesforce
